These Terms and Conditions ("Terms") govern your access to and use of qFlow's services, software, and website (collectively, the "Service") operated by qFlow Pty Ltd ("we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms.

By creating an account, accessing, or using qFlow, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and qFlow Pty Ltd.
If you are using qFlow on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" will refer to both you individually and the organization.
qFlow is a cloud-based software platform designed for production professionals to manage cues, markers, audio tracks, and related production workflows. The Service includes web-based applications, cloud storage, collaboration features, and related tools.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We do not guarantee that the Service will be available at all times or that it will be error-free.
To use qFlow, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You are solely responsible for all content, data, and materials you upload, store, or transmit through the Service. You represent and warrant that you have all necessary rights to such content and that it does not violate any applicable laws or third-party rights.
Subscription Fees: Access to qFlow requires a paid subscription plan. Subscription fees are billed in advance on a monthly or annual basis, as selected by you. All fees are in USD unless otherwise specified.
Payment: You agree to pay all fees associated with your subscription. Payment is due immediately upon subscription or renewal. We accept payment via credit card and other methods as specified on our website.
Price Changes: We reserve the right to modify our pricing at any time. Price changes will not affect your current subscription period but will apply to subsequent renewals. We will provide reasonable notice of any price changes.
Refunds: Subscription fees are generally non-refundable. However, we offer a 14-day money-back guarantee for new subscriptions. Refund requests must be submitted within 14 days of the initial subscription date.
Cancellation: You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. You will continue to have access to the Service until the end of your paid period.
Non-Payment: If payment fails or your subscription expires, we may suspend or terminate your access to the Service. We are not responsible for any loss of data resulting from suspension or termination due to non-payment.
Our Rights: The Service, including all software, designs, text, graphics, logos, and other content, is owned by qFlow Pty Ltd or our licensors and is protected by Australian and international copyright, trademark, and other intellectual property laws.
License to Use: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription period.
Your Content: You retain all ownership rights to content you upload or create using the Service. By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process your content solely for the purpose of providing and improving the Service.
Restrictions: You may not copy, modify, distribute, sell, lease, or create derivative works based on the Service or any portion thereof. You may not reverse engineer, decompile, or disassemble the Service.
Service Provided "As Is": The Service is provided on an "as is" and "as available" basis. We make no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
No Guarantees: We do not guarantee that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not guarantee that any defects or errors will be corrected.
Limitation of Liability: To the maximum extent permitted by applicable law, qFlow Pty Ltd, its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:
Maximum Liability: Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or one hundred Australian dollars (AUD $100), whichever is greater.
Australian Consumer Law: Nothing in these Terms excludes, restricts, or modifies any rights you may have under the Australian Consumer Law or other applicable consumer protection laws that cannot be excluded, restricted, or modified.
You agree to indemnify, defend, and hold harmless qFlow Pty Ltd, its directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including reasonable attorney's fees) arising from:
Data Storage: We provide cloud storage as part of the Service. Storage limits are determined by your subscription plan. You are responsible for managing your storage usage and ensuring you do not exceed your plan limits.
Data Backup: While we implement reasonable security measures and backup procedures, you are responsible for maintaining your own backups of important data. We are not liable for any loss of data.
Privacy: Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.
Data Location: Your data may be stored and processed in Australia or other countries where we or our service providers maintain facilities. By using the Service, you consent to the transfer of your data to these locations.
Termination by You: You may terminate your account at any time by canceling your subscription through your account settings or by contacting us.
Termination by Us: We may suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms, engage in fraudulent or illegal activity, or for any other reason we deem necessary to protect the Service or other users.
Effect of Termination: Upon termination, your right to use the Service will immediately cease. We may delete your account and data after a reasonable retention period. You are responsible for exporting your data before termination.
Survival: Sections of these Terms that by their nature should survive termination, including but not limited to intellectual property rights, indemnification, limitation of liability, and dispute resolution, shall survive termination.

Governing Law: These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law provisions.
Jurisdiction: Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Australia.
Informal Resolution: Before filing a claim, you agree to contact us to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith within 30 days of notification.
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. We may also notify you via email or through the Service.
Your continued use of the Service after any changes to these Terms constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service and may cancel your subscription.
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and qFlow Pty Ltd regarding the Service and supersede all prior agreements and understandings.
Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment: You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms or our rights and obligations hereunder without restriction.
Force Majeure: We shall not be liable for any failure or delay in performance under these Terms which is due to earthquake, fire, flood, act of God, act of war, terrorism, epidemic, pandemic, or other causes beyond our reasonable control.
